Pursuant to its Articles of Incorporation, Kenedix Realty Investment Corporation invests funds procured from investors through issuances of investment units primarily in real estate and securities backed by real estate.
Kenedix REIT Management, Inc.
Asset Management Company
Kenedix REIT Management, Inc. entered into an Asset Management Agreement with Kenedix Realty Investment Corporation on May 6, 2005. As an asset management company as defined under the Investment Trust Law, Kenedix REIT Management, Inc. provides asset management services according to the agreement, the Articles of Incorporation of Kenedix Realty Investment Corporation and investment policies outlined therein. The services provided by Kenedix REIT Management, Inc. include: (1) management of investment assets, (2) procurement of funds by Kenedix Realty Investment Corporation, (3) submission of reports to Kenedix Realty Investment Corporation, and (4) matters relating to items (1) through (3) that are requested by Kenedix Realty Investment Corporation from time to time (including attendance at the Investment Corporation's Board of Directors meetings for the purpose of presenting reports).

According to the Property Management Agreement, the responsibilities of Kenedix REIT Management, Inc. include the management of Kenedix Realty Investment Corporation's portfolio.
